Investment Corporation

Japan Logistics Fund, Inc. (JLF)		 The Investment corporation (JLF) shall manage funds paid in from unitholders and the like by investing said funds in real estate and securities backed by real estate and the like, in accordance with JLF’s Articles of Incorporation.
Asset Manager

Mitsui & Co., Logistics Partners Ltd. (MLP)		 As an asset management company under the Act on Investment Trusts and Investment Corporations (AITIC), in accordance with the asset management agreement, MLP shall perform the following in relation to the management of assets in compliance with the investment targets, criteria and policies set forth in JLF’s Articles of Incorporation.
1. Manage the assets owned by JLF
2. Raise funds on behalf of JLF
3. Report to JLF
4. Perform other services related or incidental to 1 through 3 above as requested by JLF occasionally.

Related to Investment
Corporation Bonds

Sumitomo Mitsui Trust Bank, Ltd.		 As an administrative agent (Agent) under the AITIC, the Agent shall perform the following:
1. Administrative services related to the administration of the general meeting of unitholders and directors meetings (excluding the creation and safekeeping of the unitholders registry and other services related to the administration of the unitholders registry entrusted to and performed by the Agent).
2. Administrative services related to accounting matters
3. Administrative services related to the preparation of accounting records and statements
4. Administrative services related to the payment of taxes

As an asset custodian (Custodian) under the AITIC, the Custodian shall perform asset custodial services, under the custodial agreement.

As an Agent under the AITIC, the Agent shall perform the following in relation to unitholder registry and the specified accounts administration agreement, under the administrative agency agreement.
1. Administrative services related to the creation and safekeeping of the unitholders registry and other services related to the administration of the said registry.
2. Administrative services related to the issuance of investment securities.
3. Administrative services related to the payment of cash distributions to unitholders.
4. Administrative services related to the receiving of requests to exercise rights vis-à-vis JLF and other notifications from unitholders.

As an Agent under the AITIC, the Agent shall perform the following in relation to investment corporation bonds, under the fiscal agency agreement.
1. Administrative services related to the redemption of principal and the payment of interest to investment corporation bondholders.
2. Administrative services related to the original registry of investment corporation bonds.
3. Administrative services related to the issuance of investment corporation bonds.
Administrative Agent Related to Investment Corporation Bonds

DBJ Securities Co., Ltd.		 As an administrative agent under the AITIC, DBJ Securities Co., Ltd. shall perform the following services in relation to investment corporation bond, under the agreement for administration of private placement and investment corporation bond registry.
1. Administrative services related to the preparation of investment corporation bond registry and transcripts
2. Administrative services related to the safekeeping of investment corporation bond registry
3. Other administrative services related to investment corporation bond registry
4. Other administrative services agreed upon
